GRATITUI TERMS OF SERVICE AND END USER LICENCE AGREEMENT

Effective Date: September 29, 2026

Welcome to Gratitui, developed and provided by PraiaVR Inc. (“PraiaVR”, “we”, “us” or “our”).

These Terms of Service and End User Licence Agreement (“Terms”) govern your download, access to and use of Gratitui, including the Gratitui application, virtual environments, beaches, meditations, movement experiences, music, audio, video, interactive features, downloadable content, subscriptions and other content or services we may make available (collectively, the “Service”).

Please read these Terms carefully.

By downloading, installing, accessing, purchasing or using Gratitui, you agree to these Terms. If you do not agree, do not download, install, access or use the Service.

These Terms apply to the consumer version of Gratitui distributed through the Meta Quest Store (formerly the Meta Horizon Store) or another authorized consumer distribution platform.

Commercial or organizational use of Gratitui requires a separate commercial licence or written authorization from PraiaVR.

1. ABOUT GRATITUI

Gratitui is intended for recreation and entertainment.

Gratitui is not a medical device, healthcare service or substitute for professional medical, psychological, psychiatric or therapeutic advice, diagnosis or treatment.

Individual experiences and responses to virtual reality, meditation, nature imagery, music and other Gratitui content will vary.

We do not guarantee that use of Gratitui will produce any particular physical, psychological, emotional, therapeutic or health outcome.

2. ACCEPTANCE OF THESE TERMS

By accessing or using Gratitui, you represent that:

1. you have read and understood these Terms;

2. you agree to be legally bound by them;

3. you are legally permitted to enter into this agreement; and

4. you will use Gratitui only in accordance with these Terms and applicable law.

If you are under the age of majority where you live, you should review these Terms with your parent or legal guardian.

Gratitui is not intended for children under 13.

Your use of the Meta Horizon platform, Meta Quest hardware and associated Meta services is also subject to Meta’s applicable terms, policies and health and safety requirements.

3. PERSONAL AND NON-COMMERCIAL LICENCE

When you lawfully purchase, download or otherwise obtain the consumer version of Gratitui, PraiaVR grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use Gratitui for your own personal and non-commercial purposes.

You do not purchase ownership of Gratitui or its Content. You receive a licence to use it subject to these Terms.

Your personal licence does not authorize you to provide Gratitui as part of a business, professional service, commercial service or organizational program.

4. COMMERCIAL AND ORGANIZATIONAL USE

A consumer purchase or download of Gratitui does not include commercial-use rights.

Unless PraiaVR has separately authorized you in writing, a commercial licence is required when Gratitui is made available to other people in connection with a business, profession, organization or service.

Examples include use by or within:

·      spas, wellness centres or retreats;

·      hotels, resorts or hospitality businesses;

·      psychologists, therapists, counsellors or other professional practices;

·      clinics, hospitals or other healthcare environments;

·      hospice or palliative-care organizations;

·      senior living or long-term-care facilities;

·      employers or workplace wellness programs;

·      schools, colleges or universities;

·      fitness, rehabilitation or recreation facilities;

·      VR arcades or entertainment venues;

·      businesses that charge customers or clients to use Gratitui;

·      businesses that include Gratitui as part of a paid service, package, treatment, membership or guest experience; or

·      any organization making Gratitui available to employees, clients, patients, residents, guests, students, customers or members.

Commercial use also includes use of Gratitui that directly or indirectly supports revenue-generating professional or business activities.

An individual using Gratitui personally does not require a commercial licence merely because that individual happens to use Gratitui at a workplace or business location.

PraiaVR may also grant specific organizations or professionals written permission to use the consumer version of Gratitui. Any such written authorization will remain subject to the terms of that authorization.

If you enter into a separate Commercial Licence Agreement, Enterprise Licence Agreement or other written agreement with PraiaVR, that agreement will govern your commercial use of Gratitui. If there is a conflict between these Terms and that agreement concerning commercial use, the separate agreement will prevail.

5. RESTRICTIONS ON USE

You may not, directly or indirectly:

1. copy, reproduce, redistribute, broadcast, publicly display, publicly perform, publish or distribute Gratitui or its Content except as expressly permitted by PraiaVR;

2. sell, rent, lease, sublicense or otherwise commercially exploit Gratitui or any portion of it;

3. use the consumer version of Gratitui to provide services to customers, clients, patients, residents, guests, employees or other third parties without appropriate commercial authorization;

4. record, extract, download, reproduce or separately distribute beach footage, video, photography, meditation recordings, music, audio or other Gratitui Content except where functionality expressly provided by PraiaVR permits it;

5. reverse engineer, decompile, disassemble, decrypt, modify or attempt to obtain the source code of Gratitui except to the extent such restriction is prohibited by applicable law;

6. create unauthorized derivative works based upon Gratitui or its Content;

7. circumvent or attempt to circumvent access controls, entitlement systems, security measures, subscription restrictions, licensing systems or technical limitations;

8. use automated systems, scraping tools, bots or other technologies to extract Content or data from the Service;

9. remove or alter copyright, trademark, attribution or other proprietary notices;

10. use Gratitui in a way that infringes the intellectual property, privacy or other rights of PraiaVR or any third party;

11. use Gratitui for unlawful, fraudulent or unauthorized purposes; or

12. assist another person in doing any of the above.

6. VR HEALTH AND SAFETY

Virtual reality affects individuals differently.

Before using Gratitui, you should review and follow all health, safety, age, environmental and device-use instructions provided by Meta for your Meta Quest headset.

Use Gratitui only in a safe environment with sufficient space and free from hazards.

You should stop using the Service immediately if you experience symptoms such as:

·      dizziness;

·      nausea;

·      disorientation;

·      loss of balance;

·      visual discomfort;

·      headache;

·      eye strain;

·      unusual fatigue;

·      motion sickness; or

·      any other physical or psychological discomfort.

Do not use Gratitui while driving, operating machinery, walking in an unsafe environment or undertaking any activity requiring awareness of your physical surroundings.

If you have a health condition that may affect your ability to safely use virtual reality, consult an appropriate healthcare professional before use.

Users are responsible for determining whether they can safely participate in VR experiences and for following the safety instructions applicable to their hardware.

7. HEALTH AND MEDICAL DISCLAIMER

Gratitui may contain meditation, mindfulness, gratitude, spirituality, breathing, movement and relaxation content.

This Content is provided for recreational and entertainment purposes only.

Nothing in Gratitui should be interpreted as:

·      medical advice;

·      mental-health advice;

·      diagnosis;

·      psychological treatment;

·      psychotherapy;

·      physical therapy;

·      medical treatment; or

·      a representation that Gratitui can prevent, diagnose, treat or cure a disease, disorder or medical condition.

Statements concerning relaxation, stress, mood, mindfulness, wellbeing or similar subjects describe the intended nature of the experience and do not guarantee results.

If you have concerns regarding your physical or mental health, seek advice from an appropriately qualified healthcare professional.

If you believe you are experiencing a medical or mental-health emergency, contact local emergency services or an appropriate crisis service.

8. CONTENT AND INTELLECTUAL PROPERTY

For purposes of these Terms, “Content” includes all material made available through Gratitui, including:

·      virtual environments;

·      beach footage;

·      photographs;

·      360-degree video;

·      audio;

·      music;

·      meditations;

·      narration;

·      movement experiences;

·      text;

·      graphics;

·      user interfaces;

·      designs;

·      icons;

·      logos;

·      software;

·      animations;

·      documentation; and

·      other audiovisual or interactive material.

Gratitui and its Content are owned by or licensed to PraiaVR and are protected by copyright, trademark and other intellectual property laws.

Except for the limited licence expressly granted under these Terms, no ownership rights are transferred to you.

PraiaVR, Gratitui, associated logos, branding, designs and other proprietary material may not be copied or used without our prior written permission.

Certain music, footage, photography, audio, software or other Content may be owned by third-party licensors. Those materials remain the property of their respective owners and are used by PraiaVR under licence.

9. META AND OTHER THIRD-PARTY SERVICES

Gratitui is currently distributed through the Meta Horizon platform and operates on compatible Meta Quest hardware.

Meta is an independent third party and is not owned or controlled by PraiaVR.

Your Meta account, headset, operating system, store purchases, platform functionality and certain other services are governed by Meta’s own terms and policies.

PraiaVR is not responsible for the availability, operation, security or performance of Meta’s hardware, software, platform or services.

Changes made by Meta or another platform provider may affect how Gratitui operates or is distributed.

The Service may also contain integrations, links, technology, software or Content provided by other third parties. Your use of third-party products or services may be subject to separate terms and privacy policies.

10. PURCHASES, SUBSCRIPTIONS AND DOWNLOADABLE CONTENT

Gratitui may be offered as a paid application, free application, subscription service or combination of these models.

PraiaVR may also offer additional Content, downloadable content (“DLC”), premium features, subscriptions, passes or other paid offerings.

The Content included with a purchase may be described on the applicable Meta Quest Store page or within Gratitui.

Purchasing Gratitui does not guarantee that all future Content, beaches, features, DLC, subscriptions or services will be included without additional charge.

Store Purchases

Purchases made through the Meta Quest Store are processed by Meta and are also subject to Meta’s applicable payment, billing, cancellation and refund policies.

Where Meta is the merchant or payment processor, refund requests should normally be made through Meta.

Subscriptions

If PraiaVR offers an automatically renewing subscription through Meta or another authorized platform, the applicable price, subscription period and renewal terms will be presented at the time of purchase.

Unless cancelled before renewal in accordance with the platform’s rules, subscriptions may automatically renew and your payment method may be charged for the next subscription period.

Cancellation generally stops future renewal and does not necessarily terminate access before the end of an already-paid subscription period.

Pricing

PraiaVR may change prices for future purchases, subscriptions, DLC or other Content.

Price changes will not alter a completed one-time purchase retroactively.

Subscription pricing changes will be handled in accordance with applicable law and the policies of the platform through which the subscription was purchased.

Applicable taxes may be added or collected as required by law or by the platform processing the transaction.

Website Purchases

Purchases made directly through the PraiaVR or Gratitui website, including through authorized payment links (for example, purchases of an enterprise hardware and software bundle, with or without a Gratitui licence subscription), are processed by our third-party payment processor and are also subject to that processor’s applicable payment terms.

One-time purchases, such as an enterprise hardware and software bundle, are charged at the time of order. Where a purchase includes a subscription licence with a trial period, subscription billing begins only after the trial period ends, unless the subscription is cancelled before the trial ends in accordance with the terms presented at checkout.

All prices for website purchases are stated in United States dollars (USD). Applicable taxes may be added or collected as required by law.

If your purchase includes an enterprise hardware and software bundle together with a subscription licence that has a trial period, and you choose not to proceed after the trial, you may request a partial refund of the bundle fee. The bundle hardware is not refundable. Other refund requests for website purchases are handled in accordance with applicable law and the terms presented at checkout.

You may manage or cancel a subscription purchased through our website using the account or subscription-management link provided at the time of purchase. Cancellation stops future renewal and does not necessarily terminate access before the end of an already-paid subscription period.

11. UPDATES, CHANGES AND AVAILABILITY

Gratitui is an evolving digital experience.

From time to time, PraiaVR may:

·      release updates;

·      correct bugs;

·      improve performance;

·      add or remove features;

·      add, replace or remove beaches or Content;

·      modify the user interface;

·      change technical requirements;

·      introduce new paid or free Content;

·      modify subscriptions or services; or

·      discontinue portions of the Service.

Updates may be required for continued use of Gratitui.

PraiaVR does not guarantee that any particular feature, beach, meditation, music track, functionality or piece of Content will remain available indefinitely.

We may discontinue the Service or portions of the Service where reasonably necessary, subject to applicable law.

Changes to supported hardware, Meta Horizon OS, third-party technology or platform requirements may also affect the continued availability or functionality of Gratitui.

12. PRIVACY AND DATA

Your privacy is important to us.

PraiaVR’s collection, use and disclosure of personal information in connection with Gratitui is governed by our Privacy Policy, available through the Gratitui website or Meta Quest Store listing.

Please review the Privacy Policy to understand what information PraiaVR collects, why it is collected, how it is used and your available privacy choices.

Meta and other platform providers may independently collect and process information concerning your Meta account, device, purchases and platform activity in accordance with their own privacy policies.

PraiaVR does not control Meta’s independent collection or use of personal information.

13. SERVICE ANALYTICS AND FEEDBACK

PraiaVR may collect anonymized, aggregated or other permitted analytics relating to use of Gratitui for purposes such as:

·      understanding how the Service is used;

·      improving features and Content;

·      measuring technical performance;

·      identifying bugs;

·      evaluating user engagement; and

·      developing future Gratitui experiences.

Any personal information associated with analytics will be handled in accordance with our Privacy Policy and applicable law.

If you voluntarily provide ideas, comments or suggestions about Gratitui, you agree that PraiaVR may use that feedback to improve or develop its products and services without an obligation to compensate you.

This does not give PraiaVR ownership of personal information you provide.

14. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, Gratitui and its Content are provided on an “as is” and “as available” basis.

While PraiaVR works to provide a high-quality experience, we do not guarantee that Gratitui will:

·      always be available;

·      operate without interruption;

·      be completely error-free;

·      function on every device or software version;

·      remain compatible with future hardware or platform changes;

·      contain any particular Content indefinitely; or

·      produce any particular wellness, emotional, psychological or physical result.

To the maximum extent permitted by law, PraiaVR disclaims warranties or conditions that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms excludes, restricts or modifies any warranty, condition, right or remedy that cannot lawfully be excluded, restricted or modified under applicable consumer protection law.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, PraiaVR and its directors, officers, employees, contractors, licensors, suppliers and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from or relating to the use of, or inability to use, Gratitui.

This includes, where legally permitted, loss of profits, revenue, business opportunities, goodwill or data.

PraiaVR is not responsible for losses caused by:

·      misuse of Gratitui;

·      failure to follow VR safety instructions;

·      incompatible or malfunctioning hardware;

·      Meta platform failures or outages;

·      third-party software or services;

·      unauthorized modifications to software or hardware;

·      interruptions beyond PraiaVR’s reasonable control; or

·      use of Gratitui in a manner prohibited by these Terms.

To the extent permitted by law, PraiaVR’s total aggregate liability arising out of or relating to Gratitui or these Terms will not exceed the greater of:

(a) the amount you paid for Gratitui and related PraiaVR digital Content during the twelve months immediately preceding the event giving rise to the claim; or
(b) CAD $100.

These limitations apply regardless of the legal basis of the claim.

However, nothing in these Terms limits liability or consumer rights where such liability or rights cannot legally be limited or excluded.

16. INDEMNITY FOR MISUSE

To the extent permitted by applicable law, you agree to indemnify and hold harmless PraiaVR and its directors, officers, employees, contractors and licensors against third-party claims, losses, liabilities or reasonable legal expenses arising directly from:

1. your unlawful use of Gratitui;

2. your material violation of these Terms;

3. your unauthorized commercial use of Gratitui; or

4. your infringement of another person’s intellectual property, privacy or other legal rights.

This section does not require you to indemnify PraiaVR for PraiaVR’s own unlawful conduct, negligence or breach of these Terms where such an indemnity would not be permitted by law.

17. SUSPENSION AND TERMINATION

Your licence to use Gratitui is conditional upon compliance with these Terms.

PraiaVR may suspend or terminate access to the Service where reasonably necessary because of:

·      a material violation of these Terms;

·      piracy or unauthorized distribution;

·      unauthorized commercial use;

·      fraud;

·      security threats;

·      unlawful conduct; or

·      circumstances requiring suspension or termination under applicable law or platform requirements.

Upon termination of your licence, you must stop using the Service.

Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability and applicable dispute provisions—will continue to apply.

Any suspension or termination is subject to applicable consumer protection law and any rights you may have through the Meta Quest Store.

18. GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.

Subject to any mandatory rights you may have under applicable law, disputes relating to these Terms or Gratitui may be brought before courts of competent jurisdiction in Ontario, Canada.

If consumer protection laws in your jurisdiction give you rights or remedies that cannot lawfully be waived or restricted, those rights remain unaffected by these Terms.

19. CHANGES TO THESE TERMS

PraiaVR may update these Terms from time to time to reflect:

·      changes to Gratitui;

·      new features or business models;

·      changes in applicable law;

·      changes to platform requirements; or

·      changes to our business practices.

When we make changes, we will update the Effective Date above.

Where appropriate or legally required, we may provide additional notice of material changes through Gratitui, our website, email or the platform through which Gratitui is distributed.

Your continued use of Gratitui after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree to revised Terms, you should discontinue use of the Service.

20. GENERAL TERMS

Entire Agreement

These Terms, together with our Privacy Policy and any other agreement expressly incorporated by reference, constitute the agreement between you and PraiaVR concerning your consumer use of Gratitui.

A separate written commercial or enterprise licence may supplement or replace portions of these Terms for commercial users.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

No Waiver

If PraiaVR does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without PraiaVR’s prior written consent.

PraiaVR may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing or sale of all or substantially all of the business or assets relating to Gratitui, subject to applicable law.

Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

Nothing in these Terms is intended to restrict rights or remedies that cannot legally be waived under applicable law.
